Abstract: | O tecido empresarial português é maioritariamente composto por Pequenas e Médias
Empresas. Este tipo de empresas tem vindo a ser severamente afectado pela crise económicofinanceira
mundial e pela situação particularmente difícil que Portugal atravessa. A atual
conjuntura tornou crescente a dificuldade sentida por estas empresas no acesso ao crédito
bancário. Neste contexto o Capital de Risco, através do investimento em Turnaround –
natureza de investimento de Capital de Risco direcionado para empresas em dificuldades –
surge como uma alternativa muito interessante.
Com a presente dissertação, pretende-se discutir a evolução dos montantes investidos em
Turnaround nos últimos anos em Portugal e ainda as particularidades e vantagens da
intervenção do Capital de Risco em empresas que atravessem dificuldades. Assim estudou-se
a situação da MFE, empresa produtora de Platex, que enfrentou um processo de insolvência e
que contou com a intervenção Capital de Risco para desenvolver um projeto de reestruturação
operacional e financeira. Com o Estudo Empírico pretende-se analisar as principais operações
de reestruturação implementadas pela Sociedade Gestora de Capital de Risco, BME Capital e
o consequente reflexo contabilístico. Realiza-se também uma análise económico financeira da
empresa, antes e na sequência da intervenção do Capital de Risco.
Pretende-se com este estudo estabelecer um paralelismo entre a abordagem teórica ao tema da
do Capital de Risco na reestruturação e recuperação de empresas, ou seja o Turnaround, e um
caso prático de uma empresa na qual existiu este tipo de intervenção. Tenta-se assim validar
algumas das premissas presentes na literatura, aplicadas no caso concreto da MFE. The Portuguese business community is largely made up of small and medium enterprises. Small businesses have been severely affected by the global financial and economic crises, mostly in Portugal. The current situation has become increasingly difficult in these companies because of access to bank credit. In this context Private Equity, through investment in Turnaround – a tyoe of Private Equity directed to companies in trouble – has emerged as a very interesting alternative. In this thesis, I intend to discuss the evolution of the amounts invested in Turnaround in recent years in Portugal and also the features and advantages of the intervention of Private Equity in companies that require it, like companies that are crossing difficulties. I studied the situation of MFE, a Platex producer company that faced insolvency proceedings and had the intervention of Private Equity to develop a project of operational and financial restructuring. With this empirical study I intend to analyse the major restructuring operations implemented by BME Capital. An economic analysis of the economical and financial situation of the company is also carried out, before and after the intervention of Private Equity. The aim of this study is to draw a parallel between the theoretical approach to the issue of Turnaround, and a practical case of a company in which there is this kind of intervention. |
