Resumo: | A proliferação, à escala global, dos diversos modelos de parceria público privado,
permitiram que as infra-estruturas se tornassem activos de investimento acessíveis para
o sector privado.
As elevadas necessidades de investimento em infra-estruturas no mundo para os
próximos anos e as virtudes deste tipo de investimento, sustentaram, entre outros
factores, o surgimento e desenvolvimento dos fundos de infra-estruturas. Os fundos de
infra-estruturas caracterizam-se por investir em activos de infra-estruturas não cotados,
seguindo a abordagem conceptual dos fundos de private equity. As infra-estruturas
como uma classe de activos de investimento inserem-se na indústria de asset
management, enquadrando-se na categoria de investimentos alternativos, à semelhança
de private equity ou real estate.
Os desafios para a estruturação e colocação de fundos de infra-estruturas (o processo de
fundraising) são acentuados, sobretudo por ser uma classe emergente.
Esta Tese foi desenvolvida segundo o método do caso. Baseando-se num enredo
ficcionado, o Caso apresenta dois profissionais do sector financeiro com sólida carreira
em infra-estruturas, que decidem criar uma sociedade independente de gestão de fundos
de infra-estruturas em 2006. Os dois protagonistas foram contudo surpreendidos pela
cadência de eventos que levou à crise económico-financeira de 2007/08, e que alterou
de forma dramática as condições de mercado. Obrigados a suspender a sua iniciativa, só
em 2011 voltam ao mercado. Precisam contudo de um apoio especializado para o
lançamento do fundo, em condições de mercado manifestamente mais adversas. Com a
resolução do Caso os alunos serão chamados, na qualidade de placement agent, a
proporcionar esse suporte. The expansion of the several types of public to private partnerships models throughout the world have enabled infrastructure to become an investment asset class for the private sector. The strong funding needs for infrastructure in the globe for the next decades and the virtues of this type of investment have supported, among other factors, the establishment and development of infrastructure funds. Infrastructure funds are investment structures for non-listed infrastructure assets and follow the conceptual approach of private equity funds. Infrastructure as an investment asset class is part of the asset management industry, where it is integrated has an alternative type of investment, just like private equity or real estate. The challenges for the structuring and placement of infrastructure funds (the fundraising process) are intense, especially for being an emergent class. This Thesis has been developed as a case study. Based on a fictional story, the Case presents two investment bankers with a solid track record in infrastructure that have decided in 2006 to create an asset management company focused in infrastructure. The two protagonists were however surprised by the fall out of events that led to the financial and economic crisis of 2007/08, and that have dramatically changed the market conditions. Forced to suspend their initiative, only in 2011 they have returned to the market. They need however a specialized support for launching the fund, in these days of adverse market conditions. By solving the Case students will be requested, on the quality of placement agents, to provide that advice. |
