Uma perspetiva jurídica sobre o impacto da Inteligência Artificial nas sociedades comerciais: Do "corporate governance" ao "intelligent governance"

Abstract

Enfrentamos tempos de mudança, ninguém pode discordar disso. No entanto, não é só a mudança que habitualmente tendemos a resistir que nos causa estranheza, é também o ritmo avassalador com que ela se move. Como vamos adaptar-nos à Inteligência Artificial (doravante designada "IA")? Esta é a pergunta-chave. Entramos num desafio iminente de adaptação do Direito às novas realidades que a IA poderá proporcionar à sociedade e às sociedades. A presente dissertação procurará responder a algumas perguntas que se colocam na atualidade por meio de uma análise abrangente das principais dificuldades enfrentadas pelas sociedades comerciais. Revela-se fundamental que o Direito crie soluções para auxiliar o amadurecimento das sociedades comerciais a enfrentar os desafios que a IA impõe. Assim, por meio desta reflexão jurídica sobre o impacto da IA nas sociedades comerciais, procurarei oferecer soluções para que o enorme desafio que enfrentam se torne mais fácil. Primeiramente, será necessário compreender a origem e o desenvolvimento da IA até à atualidade, para, consequentemente, entendermos como a IA desafia as sociedades comerciais e as suas pessoas. Inevitavelmente, explorarei os benefícios e riscos da implementação de sistemas de IA nas sociedades comerciais. Por fim, ainda que de forma necessariamente sintética face à complexidade do tema, procurarei identificar soluções que promovam a implementação segura, ética e responsável de sistemas de IA. Vivemos tempos em que será, por vezes, difícil distinguir o que é real do que é artificial. Dentro desta dicotomia da qual não conseguimos fugir, em quem devemos confiar ou em que devemos acreditar?

We live in times of change, no one can deny that. However, it is not only the change we usually resist that is strange, it is also the overwhelming pace at which it moves. How will we adapt to Artificial Intelligence (hereinafter "AI")? This is the key question. We face an imminent challenge: adjusting the law to the new realities AI will bring to society and its members. This dissertation seeks to answer some of the pressing questions of our time through a comprehensive analysis of the main challenges faced by commercial companies. The law must create solutions to help commercial companies grow and address the challenges AI poses. Through this legal reflection on the impact of AI on commercial companies, I aim to offer solutions that may help ease the significant challenges they face. First, it is necessary to understand the origin and development of AI up to date, in order to subsequently comprehend how AI challenges commercial companies and their stakeholders. Inevitably, I will explore the benefits and risks of implementing AI systems within commercial companies. Finally, albeit necessarily in a concise manner given the complexity of the topic, I will seek to identify solutions that promote the safe, ethical, and responsible implementation of AI systems. Nowadays, it can be challenging to distinguish between what is real and what is artificial. So, within this dichotomy that we cannot escape, who should we trust or what should we believe in?
