Aquisição e fusão de 50 empresas do sector da saúde

Abstract

Este projecto surge no âmbito de um estágio de seis meses realizado na empresa Euromedic Portugal. Esta empresa apresenta duas realidades com pertinência para desenvolvimento de um estudo: Fusões e Aquisições de Empresas de tipo Horizontal e Parcerias Público-Privadas. Começou-se assim por apresentar uma revisão literária onde se explora o tema Fusões e Aquisições no geral, partindo-se para uma abordagem mais pormenorizada das Fusões e Aquisições de tipo Horizontal. De seguida, explora-se o assunto Parcerias Público-Privadas, primeiro também numa abordagem lata, passando-se a um aprofundamento destas no sector da saúde – no qual se integra a empresa em questão. Posteriormente, apresenta-se a empresa a nível internacional – Euromedic Internacional e a nível local, em Portugal, seguindo-se uma análise do caso em questão tendo em conta os temas em estudo. Deste caso retira-se que há várias sinergias decorrentes do processo de fusão e aquisição de 50 clínicas médicas, nomeadamente sinergias de proveitos, custos, financeiras e operacionais, bem como, que existem alguns problemas que estão associados a uma fusão desta dimensão. É também possível identificar benefícios inerentes às parcerias entre as clínicas e o Estado Português, abrangendo o Estado, a empresa e os doentes, devendo estes ser os principais beneficiários.

This Project comes under an internship of six months held in the Euromedic Portugal company. This company presents two realities with relevance to the development of a study: Mergers and Acquisitions of Horizontal type and Public-Private Partnerships. The project begins by presenting a literature review exploring the theme of mergers and acquisitions in general, followed by a more detailed approach to mergers and acquisitions of horizontal type. Then, the subject of public-private partnerships is discussed, first in a broad approach and then zooming in the health sector – which integrates the company under study. Then the company is presented, internationally – Euromedic International, and locally, in Portugal, followed by an analysis of the case taking into account the subjects under study. The conclusion of this study, shows that are several synergies as a result of a merger and acquisition of 50 medical clinics, for example, synergies of income, costs, financial and operational, as well as some problems associated with them. It is also possible to find benefits arising from partnerships between companies and the Portuguese Government. These benefits include the State, the company and the patients, the ones that should be the main beneficiaries of partnerships.
