Nesse seguimento, serão analisadas e aprofundadas as
In this dissertation, it is intended to explore the subject of exoneration within the corporate merger. The right to exoneration consists in a guarantee aimed at safeguarding the interests of minority shareholders and it is therefore essential that the normative sector of the merger process includes such provision. The merger procedure incorporates social changes that may create risks, so the legislator felt the need to create protection mechanisms. However such mechanisms incorporate assumptions which sometimes lead you to question the application and the enforcement of this right. In such a case all legal and contractual causes of the right of exoneration will be fully analyzed, and later this concession will be framed in the sphere of fusion, in order to understand the scope of this right on the legislative level. It is also important to mention that in this study the opinions of some distinguished authors will be studied and criticized as this is a theme subject to great doctrinal debate. |
