Os direitos individuais das minorias das sociedades anónimas: o direito à informação

Abstract

A presente dissertação, tem como principal objectivo, estudar um tema recorrente do direito societário, que tem vindo a ser desenvolvido, uma vez que a informação tem alcançado particular importância nos tempos de hoje. Tal importância, parece estar associada ao facto daquela estar constitucionalmente prevista no artigo 37.º da CRP, ou seja, o direito à informação, é um direito constitucionalmente garantido. Com efeito, é nossa intenção, aprofundar o ponto de situação relativo ao direito de informação dos sócios minoritários nas sociedades anónimas fechadas. Começaremos por uma breve introdução relativa à evolução legislativa do direito à informação no ordenamento jurídico português, nomeadamente à sua extensão e seus limites, que nos conduziram à definição deste direito nos tempos de hoje. Será, igualmente, feita uma pequena abordagem do direito à informação relativamente a outros ordenamentos jurídicos, analisando-se o eventual impacto que daí possa ter resultado, no direito à informação no direito societário português. É nossa intenção, ainda, analisar que tipo de informação é que a sociedade disponibiliza para os seus accionistas, bem como, saber quem é que é efectivamente, detém titularidade do direito à informação, e quem podem ser os seus titulares. Assim, a escolha deste tema, já de si bastante complexo, prende-se com a necessidade de fazer um ponto de situação relativamente ao estudo das garantias e protecção que o legislador atribuiu aos direitos individuais, nomeadamente no Direito à Informação, comparando-o com outros ordenamentos jurídicos. O objectivo, é procurar realizar um trabalho tão abrangente, quanto possível, num tema de grande complexidade, como este, em concreto, o Dever de Informação, de maneira a constituir um elemento de consulta para todos aqueles, que de algum modo, lidam habitualmente, com esta matéria. Com ao presente dissertação, pretende-se apresentar o quadro normativo actualmente existente, que legisla o Direito à Informação, consagrado no Código das Sociedades Comerciais. Nesse sentido, será analisada a legislação existente nesse âmbito, iniciando o nosso estudo, ainda que, em breves traços muito rápidos pela legislação anterior ao Código das Sociedades Comerciais. Aí, será analisado e com interesse para o tema em debate, o disposto nos artigos 119º n.º 2, 3, e 4, 155º e 189º. Pretende-se, sobretudo, fazer um estudo sobre a tutela das minorias, incidindo-se especialmente sobre o Direito à Informação, analisando-se o actual quadro normativo existente no nosso ordenamento jurídico, comparando-o com os sistemas existentes noutros ordenamentos jurídicos europeus.

This work has as main objective to study a recurring theme of corporate law, which has been developed since the information has achieved particular importance in today's times. Such importance, appears to be linked to the fact that being constitutionally provided for in Article 37. º of CRP, the right to information is a constitutionally guaranteed right. It is our intention to deepen the current situation regarding the right to information of the minority shareholders in public companies closed. We begin with a brief introduction on the legislative evolution of the right to information in the Portuguese legal system, including the extent and boundaries, which led us to the definition of this right in today's times. Will also made a small law approach to information relative to other jurisdictions, analyzing the possible impact that may have resulted therefrom, the right to information in Portuguese corporate law. It is our intention to also examine what kind of information is that the company provides to its shareholders, as well as know who is actually holds ownership of the right to information, and who can be their owners. Thus, the choice of this theme, already very complex, relates to the need to make a point of studying the situation regarding guarantees and protection that the legislature has assigned to individual rights, particularly in the Right to Information, comparing it with other jurisdictions. The objective is to pursue a job as comprehensive as possible, a subject of great complexity, like this, in particular, the Information Duty, so as to form a basis for consultation to all those who somehow deal habitually with this matter. With the present work, we intend to present the existing regulatory framework, which legislates the Right to Information as set out in the Companies Code. Accordingly, we will analyze the existing legislation in this area, starting our study, although in very quick short strokes by legislation before the Commercial Companies Code. There will be parsed and relevant to the subject under discussion, the provisions of Articles 119 n. 2, 3, and 4, 155 º and 189 º. It is intended, above all, make a study on the protection of minorities, especially focusing on is the Right to Information, analyzing the current legal framework existing in our legal system, comparing it with existing systems in other European jurisdictions.
