Resumo: | O presente trabalho teve como objectivo, perceber quais os factores críticos de sucesso
do investimento de capital de risco em Portugal.
Seguindo uma política de investimento diferente daquela vigente no país berço da
actividade, os E.U.A., o capital de risco na Europa e em Portugal, dirigiu o seu
investimento maioritariamente para operações later-stage. Portugal diferencia-se
também de outros países europeus, devido à presença bastante significativa da banca e
do estado, entre os principais investidores de capital de risco.
Face às diferenças significativas existentes entre os países alvo da literatura sobre a
rentabilidade do capital de risco e Portugal, e utilizando uma série de operações de um
investidor de capital de risco português, verificou-se uma taxa de rentabilidade superior
em operações de start-up, influenciada provavelmente pela forte presença estatal no
sector, incrementando a actividade neste tipo de operações. A recompra pelos
promotores, revelou ser o método de desinvestimento que maior taxa de rentabilidade
proporciona ao investidor, revelando pouco dinamismo no mercado secundário do
capital de risco, estando em linha com o comum estabelecimento prévio das condições
de saída.
As percentagens mais reduzidas de detenção de capital social por parte dos investidores,
assim como as operações de duração mais curta, demonstram maior rentabilidade,
aferindo-se, quer a exiguidade do mercado de desinvestimento, assim como a menor
apetência para o capitalista de risco ser um parceiro de negócio efectivo.
Este estudo, permitiu aferir a posição mais reactiva dos investidores, ao não utilizarem
alguns instrumentos passíveis de incrementarem a rentabilidade, como o faseamento de
capital e a presença de um representante no conselho de administração das participadas. The study pursued the goal of identifying success factors of Portuguese Private Equity and Venture Capital investment. Following a different investment policy, from their origins (and still in practice in the US), this industry in Europe, and in Portugal, focused on later stage operations. Portugal presents a significant difference from other European countries, as banks and the state lead as private equity and venture capital investors. Due to the significant differences between the countries usually targeted by the literature and Portugal, I found out interesting to understand the drivers of this industry in this country. Using data base from a Portuguese private equity company, it was found that start-up operations offer a higher return, as compared with later stage investments. In what concerns the exit methods, buy-back seems to be the most profitable harvesting strategy, suggesting the lower dynamism of the Portuguese private equity market, being in line with the previously contracted exit conditions (between promoters and investors). Investments with a shorter duration and lower investor shareholding are the ones that give a higher profitability, suggesting the exiguity of Portuguese market and the lower vocation of Portuguese investors to be more than financial partners. Another interesting aspect is the reactive attitude of Portuguese investors as they tend to ignore potentially return enhancing policies such as nominating a board member and increasing the offer of “stage-financing”. |
