Compra e venda internacional: a Convenção de Viena e as obrigações das partes

Abstract

A presente dissertação tem como objetivo estudar as principais características e limitações de um contrato de compra e venda internacional quando regido pela Convenção de Viena. Iremos desenvolver mais afincadamente o comportamento de cada uma das partes pertencentes ao contrato, os meios que o vendedor e comprador têm à sua disposição em caso de incumprimento da parte contrária, bem como a transferência do risco, e por fim a importância da utilização dos Incoterms num contrato internacional. No mundo em que vivemos cada vez mais industrializado e em constante evolução as exportações e importações estão na ordem do dia, o que significa que as relações económicas internacionais, contribuem de forma positiva para o desenvolvimento das economias nacionais, estas relações dizem respeito à troca de mercadorias, serviços, capitais, bens e direitos. Com o estreitamento das relações internacionais a nível comercial, os conflitos tendem também a aumentar, por isso, tornou-se necessário a criação de um documento universal, capaz de regular situações originadas por um contrato de compra e venda e que permita solucionar eventuais disputas originadas pelas partes do contrato, para isso, foi criada a Convenção de Viena de 1980 sobre os contratos de compra e venda de mercadorias. Este documento deu um importante contributo na mediação entre os países aderentes e tem sido considerado pela doutrina como um dos documentos mais importante no meio mercantil internacional.

This dissertation aims to study the characteristics of a contract of international sales when governed by the Vienna Convention. We will develop more diligently the behavior of each of the parties belonging to the contract, the means that the seller and buyer have at their disposal in the event of default of the other party, and the transfer of risk, and finally the importance of the use of Incoterms an international agreement. In the world we live in increasingly industrialized and evolving exports and imports are on the agenda, which means that international economic relations contribute to the development of national economies. These relations concern the exchange of goods, services, capital, goods and rights. We intend with this work to develop the most used type of contract is the purchase and sale under the auspices of the Vienna Convention and study their main characteristics and limitations. With the strengthening of international relations at the commercial level, conflicts also tend to increase, so it became necessary to create a universal document, able to regulate situations caused by a contract of sale and as to solve possible disputes arising the parties to the contract, for this, was created the Vienna Convention of 1980 on the purchase and sale of goods. This document has been important in mediating between the acceding countries and has been considered by the doctrine the most important document in the international commercial environment.
