Dos registos, em especial o registo comercial: Caraterísticas e fragilidades

Abstract

A presente dissertação versa os Registos em geral e em especial o Registo comercial em Portugal. Para tanto, divide-se em dois capítulos: I – Dos Registos em geral; II – O Registo comercial. O estudo desenvolvido no primeiro capítulo tem por objeto uma perspetiva global dos Registos, nomeadamente: a origem; noção e função do Registo; a publicidade; o objeto e espécies do Registo em Portugal: o sistema registal português e a organização dos serviços registais em Portugal. Já no segundo capítulo aborda-se, em concreto, as caraterísticas do Registo comercial português, através da análise da sua evolução histórica, da autonomização, objeto e princípios instrutores das reformas a que este foi sujeito na última década, do seu impacto no processo formativo das sociedades comerciais e ainda dos seus efeitos no geral e perante terceiros. A atividade registal tem o fim de dar a conhecer a qualquer interessado a constituição, transmissão, modificação e extinção de situações jurídicas, fomentando a segurança jurídica. O Registo comercial é o instrumento fundamental para a plena validade da constituição das sociedades comerciais, assim como de outras entidades que prossigam uma atividade económica mercantil, ainda que sem fins lucrativos, afigurando-se também preponderante nas vicissitudes destas. Pretendemos, assim, demonstrar a importância dos Registos, bem como a faceta determinante do Registo comercial e ainda o impacto das suas fragilidades na sociedade atual.

This dissertation deals with Register in general and specifically the commercial Register in Portugal. For this, it is divided into two chapters: I - Of the Registers in general; II - Commercial Register. The study developed in the first chapter is engaged in a global perspective of Registers in particular: the origin; concept and function of Registration; advertising; object and types of Register in Portugal: the Portuguese register system and the organization of register services in Portugal . In the second chapter we approach, in particular, the characteristics of the Portuguese Commercial register through the analysis of their historical development, the empowerment, object and instructors principles of the reforms that it has undergone in the last decade, its impact on training process of commercial companies and yet its effects in general and to third parties. The register activity has the purpose of making known to any interested party the constitution, transmission, modification and extinction of legal situations, promoting legal certainty. Commercial Register is the main instrument for the full validity of the constitution of commercial companies as well as other entities proceeding a mercantile economic activity, although non-profit, and is thus also leading in these adversities. We pretend demonstrate the importance of Registration as well as the decisive facet of the commercial Register and also the impact of its weaknesses in nowadays society.
