| dc.description.abstract | Against the backdrop of China’s transition from the approval system to the registration system for stock issuance, the issuance and pricing mechanisms of the capital market have undergone profound transformations. Centered on information disclosure, the registration system reform aims to strengthen the decisive role of the market in resource allocation and to improve pricing efficiency and transparency in the primary market. However, in the early stages of the reform, distortions in institutional quotations, intensified investor gaming, and misaligned incentives among underwriters emerged. The level of IPO underpricing remained high, suggesting that market-oriented pricing mechanisms were not yet fully developed. To enhance the supporting framework of the registration system, regulators introduced two key measures - mandatory co-investment by securities firms and the new inquiry-based pricing rules - intended to strengthen institutional quotation discipline and optimize incentive alignment between issuers and underwriters, thereby improving IPO pricing behavior and market pricing efficiency. Taking the ChiNext Market as the research context, this thesis systematically analyzes the changes in investment banks’ pricing behavior following these institutional reforms and explores the mechanisms and effects through which such innovations influence IPO underpricing and pricing efficiency. | |
