Located in southwest China, Chongzhou is a major agricultural county and grain producing area. The rural population accounts for 47 percent of the total population, however, the percentage of rural migrant labor is as high as 85 percent. It is a typical area facing four constraints of “fragmented land, fragile labor, dispersed capital and shortage of services” and a challenge to national food security brought by non-agriculturalization and non-grain production. Through a grassroots innovative experiment and further promotion, Chongzhou has successfully solved the dilemma and became a “national case” for China’s agricultural operation. How a grassroots innovative practice was “institutionalized” to a national modern agricultural operation system innovative practice has great research values. This study adopts the grounded theory method, and conducts field work on main participants in the “Agricultural Co-Operation System”. On the principles of “constant comparison” and “theoretical sampling”, through open coding, axial coding, selective coding and the theoretical saturation test, a theoretical model is developed, then a dialogue with the literature is conducted. The theoretical analysis focuses on the property rights foundation, the environment, the driving forces and the performance of the institutional innovation. The process of institutional change is discussed. This study expands the application of institutional research in Chinese managerial context and develops the theory constructing. This thesis has theoretical innovation and practical implication which can be generalized and replicated nationwide in China.por
