Vícios das deliberações sociais

Abstract

Este trabalho tem como foco o estudo dos vícios que possam surgir nas deliberações sociais, nomeadamente as invalidades em sentido estrito, que compreende a nulidade e a anulabilidade, como também deliberações ineficazes e outros vícios não presentes no Código das sociedades Comerciais, mas também estudadas e reconhecidas por alguns autores como as inexistências e as irregularidades. O objetivo é compreender as diferentes situações que podem cominar com a existência de um destes vícios por forma a poder aprofundar os conhecimentos nesta área do Direito. A razão da escolha deste tema deve-se ao facto de ter tido contacto nesta área dos vícios de deliberações sociais enquanto estagiei numa sociedade de advogados, o que me motivou a querer aprofundar os meus conhecimentos neste campo. Para atingir o objetivo, irei fazer investigação de trabalhos de autores que tenham em grande medida contribuído para o desenvolvimento do conhecimento desta área, como também fazer uso de acórdãos jurisprudenciais, do nosso sistema judicial, para conhecer a posição que é efetivamente tomada pelos nossos juízes que, no fim do dia, são quem aplicam efetivamente a lei que consideram ser a mais razoável para o caso concreto. Resta-me referir que tanto a doutrina como a jurisprudência aparentam reunir, na grande maioria dos temas relativos à deliberação, um consenso geral, pelo que este trabalho não irá divergir muito das posições consensuais; não obstante, irei dissecar algumas das opiniões que não reúnem tanto consenso e irei tentar dar a minha posição relativamente às mesmas.

This work is focused on the study of the vices that may arise from corporate resolutions, in particularly the invalidity, that comprises nullity and anullment, as well as resolutions that are ineffective and other vices not present in the Commercial Code of Corporations, but that are also studied and acknowledged by some authors such as inexistences and irregularities. The purpose is to understand the different cases that can lead to the existence of one of these vices in order to widen the knowledge in this field of law. The reason for choosing this theme is due to the fact that I had experience on the field of vices, that arise from corporate resolutions, while I was an intern in a law firm, which motivated me to want to deepen my knowledge on this particular field. To achieve this, I will research studies from authors who have largely contributed to the development of knowledge on this field, and use of case-law, of our judicial system, to understand where our judges stand in these particular matters, since, at the end of the day, they are the ones who effectively apply the law that they consider to be the most reasonable for that particular case. I must note that both sholars and judges tend to agree on these matters related to corporate resolutions, so this work will not differ largely from the consensual stands, however, I will dissect some points, that do not share overall agreement, and I will try to give my own stand on them.
