Profit, from the perspective of business corporations, consists of the increase in the company's value, resulting from the exercise of its corporate activity, as well as the appreciation of its share capital. The partners' right to profits arises at the time of the execution of the articles of association, in which they undertake to contribute goods and services to the joint exercise of a certain economic activity in order to share the profits resulting from this activity. This right arises as consideration for their contributions to the company or as a result of the risk of loss. This paper aims to analyze and better understand the rights of partners to profits and dividends and to freely determine the allocation of the company's earnings, without, however, violating the rights of minorities. In other words, to determine whether the approval of non-distribution of profits for a given year, by a ¾ majority, at a regularly convened meeting, constitutes an abuse of the majority. The right to fiscal year profits and dividends in public limited companies was also addressed, exploring the mandatory nature of their distribution. It is emphasized that the right to profits is one of the first rights granted by law to shareholders and is non-derogable. Therefore, each shareholder has the right to share in the profits. That is, each shareholder has the power to permanently demand from the company their share of the profits, generally in proportion to their stake in the share capital, when these are to be distributed. This is intended to better clarify the circumstances that may result in abuse of rights by shareholders, whether majority or minority.por
