Invalidade das deliberações sociais

Abstract

O presente trabalho tem por base o estudo da invalidade das deliberações sociais, nomeadamente no que à nulidade e anulabilidade concerne. Como principal objetivo tem-se a intenção de alcançar a total e clara compreensão das causas que levam aos diferentes resultados da invalidade, sendo que, para estes efeitos aprofundar-se-á, tanto quanto possível, os temas que se relacionam direta ou indiretamente com a nulidade e a anulabilidade. Enquanto solicitador que sou, na base da motivação para esta investigação encontra-se o facto de este tipo de profissional se encontrar particularmente vocacionado para o cargo de secretário de sociedades comerciais, tal como o dispõe o art.º 446.º-A do CSC. Assim, atento as competências atinentes à figura do secretário de sociedade (art.º 446.º-B do CSC), que em muito são relacionadas com o processo deliberativo, pretendo assimilar, através deste trabalho, o modo de exercer competentemente aquela função. Por forma a atingir o elevado grau de compreensão eentendimento que se espera sobre o assunto em causa, procurar-se-á basear a dissertação nos estudos de maior relevo que sobre o tema em assunto versem, sejam eles de teor doutrinal ou jurisprudêncial. De um ponto de vista global, dever-se-á desde já salientar que este não é um assunto que apresente grandes divergências doutrinais ou jurisprudenciais, pelo que os resultados a obter serão no geral condizentes com a maioria dos estudiosos de renome. Não obstante todo o esforço de atualização e aperfeiçoamento, os temas que me proponho a estudar estarão sempre abertos a novas abordagens e desenvolvimentos.

This work is based on the study of the invalidity of corporate resolutions, with particular concerning to the nullity and annulment. For main objective, it has the intention of achieving a full and clear understanding of the causes that lead to the different invalid results, so that, it is going to be studyed, as deep as possible, the subjects that directly or indirectly are related with nullity and annulment. As a solicitor (“solicitador”) that I am, on the basis of the motivation for this research is the fact that this type of professional is particularly devoted to perform the function of secretary of commercial companies (“secretário de sociedades comerciais”), as it is said in article 446. º-A of the potuguese “CSC”. Taking in attention the skills that are related with the figure of company secretary (article 446. B of the “CSC”), which are very related to the deliberative process, I intend to assimilate as much as I can, so thath I could be able to perform properly that function. In order to achieve a high level of comprehension and understanding, that is expected on the matter in subject, the dissertation will be based on the most relevant studies on the topic, be they doctrinal or jurisprudential. From a global point of view, this is not an issue that presents major jurisprudential or doctrinal differences, so that the results will be generally consistent with the most renowned scholars. Despite all the effort of updating and refinement, the topics that I intend to study will always be open to new approaches and developments.
